Terms of Service

The terms and conditions governing your use of AWUJO services.

Effective Date: 1 February 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you and AWUJO AO INTERNATIONAL INC. (operating as "AWUJO", "we", "our", or "us"). By creating an account, accessing our platform, or using any of our cross-border payment services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. About AWUJO

AWUJO AO INTERNATIONAL INC. is registered as a Money Services Business (MSB) with the Financial Transactions and Reports Analysis Centre of Canada (FINTRAC), MSB Registration: C10001515. AWUJO is not a bank, deposit-taking institution, or credit union. We do not accept deposits, extend credit, or provide investment advice. Our services are limited to cross-border payment processing, foreign exchange conversion, and related settlement services.

2. Eligibility

AWUJO services are available exclusively to registered businesses and legal entities. To use our services, you must:

  • Be a duly registered and validly existing business entity in your jurisdiction of incorporation
  • Successfully complete our Know Your Business (KYB) verification process, including providing all requested documentation
  • Provide accurate, current, and complete information during registration and keep it updated throughout your relationship with us
  • Have a legitimate business purpose for the payments you wish to make or receive
  • Not be located in, or a resident of, any jurisdiction subject to comprehensive sanctions by Canada, the United States, the European Union, or the United Nations

We reserve the right to refuse service, close accounts, or restrict access at our discretion, including where we determine that a business relationship presents unacceptable compliance risk.

3. Account Registration and Verification

To open an account, you must submit the following (at minimum):

  • Certificate of incorporation or equivalent formation document
  • Proof of business address
  • Valid government-issued identification for all directors, officers, and beneficial owners holding 25% or more ownership
  • Description of your business activities and anticipated payment corridors
  • Any additional documentation we may reasonably request to satisfy our regulatory obligations

You authorise us to conduct identity verification checks, credit checks, and screening against sanctions lists, PEP databases, and adverse media sources, both at onboarding and on an ongoing basis throughout the business relationship.

4. Payment Services

4.1 Initiating Payments

To initiate a payment, you must: (a) have sufficient cleared funds in your AWUJO wallet; (b) provide accurate and complete beneficiary details; and (c) review and confirm the exchange rate, fees, and total cost before submitting. You are solely responsible for the accuracy of beneficiary information. AWUJO is not liable for payments sent to incorrect accounts due to errors in the information you provide.

4.2 Exchange Rates

Exchange rates displayed on our platform are indicative and may change at any time. The final exchange rate applicable to your transaction is the rate displayed and accepted by you at the time of confirmation. Once you confirm a transaction, the exchange rate is locked for that transaction.

4.3 Fees

AWUJO charges a transaction fee and an FX spread on each payment. All applicable fees are disclosed to you before you confirm a transaction. We reserve the right to change our fee structure at any time, with notice to existing customers. Volume-based pricing may be available under separate written agreement.

4.4 Settlement Times

Settlement times vary by corridor, payment method, and destination banking infrastructure. All settlement estimates provided on our platform or in our communications are indicative only. We do not guarantee delivery within any specific timeframe and are not liable for delays caused by banking partners, regulatory holds, compliance screening, incorrect beneficiary details, weekends, public holidays, or force majeure events.

4.5 Cancellations and Refunds

Once a payment has been submitted and confirmed, it generally cannot be cancelled or reversed. If a payment fails due to incorrect beneficiary details or is rejected by the receiving institution, we will use reasonable efforts to return the funds to your AWUJO wallet, less any fees or charges already incurred. Refund timelines depend on the corridor and the cooperation of third-party institutions involved.

5. Funding Your Account

You may fund your AWUJO wallet via bank wire transfer, Electronic Funds Transfer (EFT), or Interac e-Transfer. Client funds are held in segregated trust accounts at Schedule I Canadian banks, completely separate from AWUJO's operational funds. We do not commingle client funds with our own. We do not pay interest on funds held in your wallet.

6. Compliance Obligations

You agree to:

  • Use AWUJO services only for lawful business purposes
  • Not use our services for money laundering, terrorist financing, tax evasion, fraud, sanctions evasion, or any other prohibited activity
  • Provide truthful and accurate information at all times
  • Respond promptly to any requests for additional information or documentation related to your account or transactions
  • Notify us immediately if any information previously provided becomes inaccurate or if there are material changes to your business structure, ownership, or activities

We may suspend, restrict, or terminate your account without prior notice if we reasonably suspect any violation of these obligations, if required by law or regulation, or if directed to do so by a regulatory or law enforcement authority.

7. Transaction Limits

We may impose transaction limits, daily limits, or cumulative limits on your account based on your risk profile, verification level, and applicable regulatory requirements. These limits may be adjusted from time to time at our discretion. If you require higher limits, please contact our team to discuss enhanced due diligence options.

8. Prohibited Activities

You must not use AWUJO services in connection with:

  • Any unlawful activity or payments in furtherance of illegal conduct
  • Transactions involving sanctioned countries, entities, or individuals
  • Payments related to illegal drugs, weapons, human trafficking, or exploitation
  • Gambling, cryptocurrency exchanges (unless pre-approved in writing), or adult entertainment
  • Structuring transactions to avoid reporting thresholds or regulatory requirements
  • Any activity that could cause reputational harm to AWUJO or its banking partners

9. Intellectual Property

All content, designs, logos, trademarks, and software on the AWUJO platform are the property of AWUJO AO INTERNATIONAL INC. or its licensors. You may not copy, reproduce, distribute, or create derivative works from any part of our platform without our prior written consent.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AWUJO is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our services
  • Our total liability for any claim arising from or related to these Terms or our services shall not exceed the total fees paid by you to AWUJO in the twelve months preceding the claim
  • We are not liable for losses arising from third-party banking delays, correspondent bank actions, exchange rate fluctuations after confirmation, regulatory holds, or events beyond our reasonable control

11. Indemnification

You agree to indemnify, defend, and hold harmless AWUJO AO INTERNATIONAL INC., its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your violation of any applicable law or regulation; (c) inaccurate information provided by you; or (d) your use of AWUJO services for prohibited activities.

12. Termination

Either party may terminate the business relationship at any time. You may close your account by contacting us at support@awujo.com, provided all pending transactions have been completed and any outstanding balances have been withdrawn. We may terminate or suspend your account immediately if we believe you have violated these Terms, if required by law, or if continuing the relationship presents unacceptable risk. Upon termination, any remaining balance in your wallet (less any amounts owed to us) will be returned to your nominated bank account.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

14. Amendments

We may amend these Terms at any time by posting the revised version on our website. Material changes will be communicated to you via email or through a notice on our platform at least 30 days before they take effect. Your continued use of our services after the effective date of any amendment constitutes acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
